Welcome to Ludo Clash. These Terms of Use ("Terms") govern your use of the Ludo Clash mobile application ("App") operated by Vivinte LLC ("Company", "we", "us", or "our"), a company registered in Armenia. By downloading, accessing, or using our App, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not use our App.
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised Terms.
We grant you a limited, non-exclusive, non-transferable, and revocable license to use the App for your personal, non-commercial use. This license is subject to these Terms and does not include any right to resell the App; distribute, publicly perform or publicly display any App content; modify or otherwise make any derivative uses of the App, or any portion thereof; or use the App other than for its intended purposes.
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our App. You are responsible for safeguarding the password that you use to access the App and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
Our App may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post on or through the App, including its legality, reliability, and appropriateness. By posting Content on or through the App, you grant us the right to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the App. You retain any and all of your rights to any Content you submit, post or display on or through the App and you are responsible for protecting those rights.
The App and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Vivinte LLC and its licensors. The App is protected by copyright, trademark, and other laws of both Armenia and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Vivinte LLC.
You may use the App only for lawful purposes and in accordance with these Terms. You agree not to use the App:
Your use of the App is at your sole risk. The App is provided on an "AS IS" and "AS AVAILABLE" basis. The App is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Vivinte LLC, its subsidiaries, affiliates, and its licensors do not warrant that a) the App will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the App is free of viruses or other harmful components; or d) the results of using the App will meet your requirements.
To the fullest extent permitted by applicable law, in no event shall Vivinte LLC, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the App. To the maximum extent permitted by applicable law, Vivinte LLC assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our App; (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.
You agree to defend, indemnify, and hold harmless Vivinte LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the App, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the App.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the App will immediately cease. If you wish to terminate your account, you may simply discontinue using the App.
These Terms shall be governed and construed in accordance with the laws of Armenia, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
